We are Max E-commerce LLC, doing business as Cellics ("Cellics," "we," "us," "our"). We operate the website https://cellics.co (the "Site"), as well as any other related products and services that refer or link to these legal terms (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Cellics, concerning your access to and use of the Services. By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. By continuing to use the Services after the date such revised Legal Terms are posted, you will be subject to and deemed to have accepted the changes.

1. OUR SERVICES
The Services are intended for users located in jurisdictions where our products, memberships, and content are lawfully offered. Access from other jurisdictions is at your own initiative and risk, and you are solely responsible for compliance with local laws.
The Services are not tailored to comply with industry-specific regulations (e.g., HIPAA, FISMA, GLBA). Do not use the Services if your interactions would be subject to such laws.
2. INTELLECTUAL PROPERTY RIGHTS
Our IP. We (or our licensors) own all rights, title, and interest in and to the Services, including the Site, software, designs, text, graphics, photographs, audio, video, data, and other materials (collectively, the "Content"), and the trademarks, service marks, and logos displayed (the "Marks"). The Content and Marks are provided AS IS for your personal, non-commercial or internal business use only.
Limited License. Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and to download or print a copy of Content to which you have lawful access solely for your personal, non-commercial use or internal business purpose. Any other use (including copying, distribution, modification, public display, or exploitation) is prohibited without our prior written permission.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (a) all registration information you submit will be true, accurate, current, and complete; (b) you will maintain the accuracy of such information; (c) you have the legal capacity and are at least 18 years old; (d) you will not use the Services for any illegal or unauthorized purpose; and (e) your use of the Services will not violate any applicable law or regulation.
4. USER REGISTRATION
You may need an account to access certain features. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
5. PRODUCTS
We strive to describe and display products accurately, but do not warrant that specifications, pricing, or availability are error-free. All products are subject to availability and may be discontinued at any time. Prices may change at any time.
6. PURCHASES, SUBSCRIPTIONS, AND PAYMENT
Accepted Payment Methods. We accept major payment methods as displayed at checkout (e.g., Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay, Shop Pay, Diners Club).
Currency. All charges are in U.S. Dollars (USD) unless expressly stated otherwise.
Order Authorization. You agree to provide current, complete, and accurate purchase and account information and authorize us (and our processors) to charge your selected payment method for your orders and any applicable taxes/shipping.
Memberships (Cellics Institute™ Access) & Trials

Trial Period. Many membership offers include a trial period of 30 days (some legacy promotions used 28 days). During the trial, you receive full membership benefits at no cost.

Auto-Renewal & Billing Frequency. Unless you cancel before the trial ends, your membership automatically continues and your payment method is charged monthly (typically every 30 days; some legacy plans use 28-day cycles). The monthly membership fee is currently $49.00 or $49.99, as disclosed at sign-up.

Cancellation. You may cancel anytime—during the trial or thereafter—via your online account or by emailing support@cellics.co (and by phone once phone support is available). If you cancel before the trial ends, you will not be charged a membership fee. If you cancel after a renewal has processed, your cancellation takes effect at the end of the current paid period; no further renewals will be charged.

No Refunds on Digital Membership. Membership fees are non-refundable once billed, because digital access is granted immediately. (We will comply with any non-waivable consumer rights required by law.)

Product Subscriptions. Some products (e.g., supplements) can be purchased on a subscription basis. These bill on the schedule and at the price disclosed at checkout (typically monthly at the then-current product price) and continue until you cancel. You can cancel any time; cancellations after an order is processed will apply to future cycles.

Price & Benefits Changes. We may adjust membership pricing or benefits. We will provide advance notice of price increases. If you do not agree, cancel before the change takes effect. Continued use constitutes acceptance of changes.

One Trial Per Customer. We reserve the right to deny multiple trials to the same individual or household and to cancel memberships in cases of abuse.
Checkout Consent. By clicking “Submit Order Securely,” you agree to these Terms of Service (including the arbitration agreement and class action waiver) and acknowledge you have read our Privacy Policy.
7. RETURN & REFUND POLICY
Please review the Refund/Return Policy on our Site before purchasing. Cellics offers a Money-Back Guarantee on eligible supplement purchases for active members as described on our Guarantees page. Digital membership fees are non-refundable once billed. For products purchased via subscription, cancellations apply to future cycles.
8. PROHIBITED ACTIVITIES
You agree not to: (a) scrape or harvest data without written permission; (b) circumvent security features; (c) harass or harm others; (d) use bots, crawlers, or automated tools to access the Services except standard search engine/browser usage; (e) upload malware; (f) impersonate others; (g) reverse engineer the Services except as allowed by law; (h) use the Services for unlawful purposes; or (i) remove proprietary notices.
9. USER-GENERATED CONTENT
If you post reviews, comments, images, or other content ("Contributions"), you are solely responsible for them and you represent that you have all rights to post them. We may remove or edit Contributions at our discretion.
10. LICENSE TO CONTRIBUTIONS
By posting Contributions, you grant Cellics a worldwide, perpetual, irrevocable, transferable, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Contributions in any media and to use any name, username, or likeness as submitted in connection with your Contributions, and you waive any moral rights.
11. REVIEWS GUIDELINES
Reviews must reflect your personal experience and must not contain profanity, hate speech, illegal content, or misleading statements, nor be part of organized campaigns. We may host, remove, or moderate reviews at our discretion.
12. SERVICES MANAGEMENT
We may monitor, manage, or restrict access to the Services to protect our rights/property and to ensure proper functioning, including removing content or disabling accounts for violations.
13. PRIVACY POLICY
Your use of the Services is subject to our Privacy Policy (available on the Site), which explains how we collect, use, disclose, and safeguard your information. The Services are hosted in the United States; by using them, you consent to processing in the U.S.
14. COPYRIGHT/DMCA
If you believe content on the Services infringes your copyright, please send a detailed notice to support@cellics.co including: (i) the copyrighted work claimed infringed; (ii) the allegedly infringing material and its location; (iii) your contact information; (iv) a good-faith statement; (v) a statement under penalty of perjury of your authority; and (vi) your signature.
15. TERM AND TERMINATION
We may suspend or terminate access to the Services at any time for any reason, including violations of these Terms. If terminated, you may not create a new account. We may pursue legal remedies for violations.
16. MODIFICATIONS & AVAILABILITY
We may change or discontinue the Services (or any part) without notice and are not liable for any unavailability. We do not promise updates or continued support.
17. GOVERNING LAW
These Terms and your use of the Services are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.
18. DISPUTE RESOLUTION (BINDING ARBITRATION; CLASS ACTION WAIVER)
Informal Resolution. Before filing a claim against us, you agree to try to resolve the dispute informally by emailing support@cellics.co with "Dispute" in the subject line and a description of your claim. If we cannot resolve it within 60 days, either party may start arbitration.
Binding Arbitration. Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, the Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator in Wyoming, USA (or by teleconference/videoconference or on written submissions, if both parties agree). The arbitrator must apply Wyoming law and provide a written award if requested. Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver & Jury Trial Waiver. YOU AND CELLICS AGREE THAT ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO A JURY TRIAL. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.
Exceptions. You or we may bring claims: (a) in small claims court if within that court’s jurisdiction; (b) to enforce or protect intellectual property; or (c) for injunctive relief. If the class action waiver is found unenforceable, this Section 18 is severed and disputes will be litigated in the state or federal courts of Wyoming, and you consent to their exclusive jurisdiction and venue.
Limitations Period. Any claim must be filed within one (1) year after it arose; otherwise, the claim is permanently barred.
19. CORRECTIONS
We may correct errors or omissions and change information on the Services at any time without notice.
20. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted, timely, secure, or error-free operation.
21. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELLICS (AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the maximum extent permitted by law.
22. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Cellics and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your: (a) access to or use of the Services; (b) violation of these Terms; (c) Contributions; or (d) violation of any law or third-party right.
23. USER DATA
We may maintain data transmitted through the Services for operational purposes. You are solely responsible for all data that you transmit or that relates to your activity. We are not liable for any loss or corruption of such data.
24. ELECTRONIC COMMUNICATIONS & SIGNATURES
You consent to receive communications from us electronically and agree that all terms, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You consent to electronic signatures and records for transactions conducted via the Services.
25. CALIFORNIA NOTICE
California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or at (800) 952-5210 or (916) 445-1254.
26. THIRD-PARTY SERVICES DISCLOSURE
We use third-party platforms and service providers to deliver the Services, process payments, fulfill orders, and communicate with users, including but not limited to Shopify (site/ecommerce), Checkout Champ (billing/CRM), Payarc/Seamless (payment processing), Klaviyo (email/SMS marketing), and Replo (site components/landing pages). Your use of features powered by these providers may be subject to their terms and privacy policies in addition to ours.
27. MISCELLANEOUS
These Terms, together with any policies posted on the Site (including our Privacy Policy and Returns/Refund Policy), constitute the entire agreement between you and us regarding the Services. If any provision is held invalid, the remaining provisions shall continue in full force. Our failure to enforce any provision is not a waiver. We may assign our rights and obligations at any time. No agency, partnership, joint venture, or employment relationship is created by these Terms. You waive any defenses based on the electronic form of these Terms and the lack of signing.
